Neptune Minerals adheres to a strict code of conduct which includes the following:

  • Doing Business with Governments: We conduct business in accordance with the procedures, rules and ethical standards of federal, state, municipal and international governments and their agencies. It is our policy to work with the government representatives in an honest and ethical manner.
  • Compliance with Employment Laws: We comply with all laws, rules and regulations. This includes, without limitation, laws covering bribery and kickbacks, trade secrets, information privacy, political contributions, antitrust prohibitions, foreign corrupt practices, offering or receiving gratuities, environmental hazards, unlawful employment discrimination or harassment, occupational health and safety, false or misleading financial information and misuse of corporate assets.
  • Bribery and Kickbacks: Our policy prohibits giving or receiving (or offering, soliciting or attempting to give or receive) bribes, kickbacks or any other illegal or improper payments, transfers or receipts. No employee shall offer, give, solicit or receive any money or anything else of value to or from government personnel, foreign government officials, U.S. Government prime contractors or subcontractors (either directly or through third parties) for the purpose of: (1) obtaining, retaining or directing business; or (2) bestowing or receiving any kind of favored treatment.
  • Political Contributions and Lobbying: We comply with all laws relating to political contributions and lobbying.
  • Conflicts of Interest: Our policy is to be free of outside influence or interests which conflict with the duty to act in the best interests of the Company. We deal with owners, suppliers, customers, contractors and all others without favor or preference.
  • Compliance with Employment Laws: We operate on a global basis and comply with the various employment laws in each country, state, province, city or municipality in which we operate. We shall employ individuals without regard to race, color, religion, sex, age, national origin, ancestry, marital status, disability, veteran status or any other protected class.
  • Gratuities and Business Courtesies: We conduct business with customers and vendors on the basis of service, quality, performance and price without giving or accepting anything of value that could improperly influence or appear to improperly influence the outcome of a transaction.
  • Use of Company Assets and Resources: Our policy is not to use Company funds or assets for any unlawful or improper purpose or improper personal gain.
  • Protecting Information: We proactively safeguard all information reasonably considered confidential and/or proprietary including Company trade secret information, customer and supplier information.
  • Company Books and Records: We maintain all books and records in accordance with good accounting practices and all applicable laws and regulations. No false, misleading or artificial entries may be made in the books and records of our Company.
  • Employee Health, Safety and Security: We comply with applicable health and safety laws and regulations. We are committed to the prevention of accidents and injury to our employees and the general public. We comply with applicable environmental laws, ordinances and regulations and cooperatively participate with regulatory agencies conducting inspections or investigations.
  • Alcohol and Drugs: We maintain a drug free work place. All of our employees strictly comply with Company policies restricting the abuse of alcohol and the possession, sale and use of illegal substances or face disciplinary action, up to and including termination of employment.
